- Represented a publicly-traded biotechnology company in the $85.6-million refinancing of its corporate office, laboratory and production facility in Los Angeles, California, leading the borrower’s legal team to a successful closing.
- Lead tenant-side lease negotiations for a 535,000-square-foot, build-to-suit headquarters for a publicly traded biotechnology company, the then-largest leasing transaction in San Diego history by dollar value.
- Represented a publicly traded biotechnology company in the sale-leaseback of its 18.4-acre, 250,000-square-foot headquarters in Carlsbad, California, to Oxford Properties.
- Represented a publicly traded biotechnology company in negotiating a lease for its 133,896-square-foot research & development facility in San Francisco, California, in a converted office tower.
- Represented a private biotechnology company in the build-to-suit leasing and build-out of a 94,500-square-foot FDA-regulated production facility in Sacramento, California.
Industrial/Technology
- Lead complex lease negotiations on behalf of a venture-backed aerospace company, successfully closing on its 180,000-square-foot headquarters, research and production facility in Torrance, California.
- Represented a start-up company in negotiating a lease for its 16,000 square foot defense products research and development facility in El Segundo, California.
- Represented an established clothing brand in negotiating a lease of a 185,000 square foot semi-automated distribution facility.
- Represented a venture-backed company in negotiating construction contracts for a food bioprinting production facility in San Diego, California.
Hospitality
- Representation of a developer client in the financing, ownership and management of the Fairmont Austin, in Austin, Texas, including leading the borrower-side legal team in the successful closing of a $430-million CMBS refinancing of the hotel.
- Provide on-going strategic advice, contracts negotiation, operational advice and dispute resolution on behalf of the ownership group of a historic hotel in Santa Monica, California.
- Representation of a developer client in the development and financing of a planned 1,150-room luxury hotel in downtown San Diego, California, including negotiating the hotel management and technical service agreements with a luxury hotel management brand.
- Advise a limited partner investor group in the development and re-structuring of a luxury residential, hotel and private beach and golf club resort in Los Cabos, Mexico.
- Represented the owner of an island in negotiating a resort management agreement and related documents for the development of the island into a world-class, super luxury resort in the Bahamas.
- Represented a mid-sized national hotel chain in the closing of a $110-million financial re-structuring of twelve mid-market hotels on the west coast, as well as the disposition of five other hotels in Washington, Idaho and Oregon.
Other Real Estate Development and Investment
- On-going representation of a private client in partnership matters, operations and dispositions of a family-owned real estate portfolio in Northern California.
- Representation of a cutting-edge industrial design company in its $100-million+ acquisition and redevelopment of multiple historic properties in San Francisco, California.
- Representation of the developer in the master development of Manchester Pacific Gateway, six city blocks in downtown San Diego under a long-term ground lease with the U.S. Navy, including the closed sale of a leasehold interest in five of the blocks to IQHQ.
- Represented a space exploration company in a public-private partnership leading to the development of a new spaceport, including development of forms and procedures for public use of the spaceport and joint equipment-licensing arrangements.
- Provide strategy advice to clients regarding construction licensing, brokerage licensing, accessibility issues and RESPA Section 8(a).
Clean Energy / Environmental Technology
- Represented a venture-backed energy company in negotiating multiple executed feedstock and offtake agreements for the production, distribution and sale of hydrogen, and the development of a hydrogen production facility Valdosta, Georgia.
- Represented an industry-leading data center company in negotiating and closing its $1-billion credit facility used to finance and build out five data centers across the United States.
- Represented multiple companies in successfully negotiating power purchase agreements.
- Represented a private equity fund focusing on clean energy in multiple joint ventures and investments in clean energy projects.
